Parties and acceptance

These terms govern the relationship between Arturo Guasp Vicedo (tax ID 21798350P), who provides the service under the trade name Vizator ("Vizator"), and the company or professional that contracts it ("the customer").

The customer accepts them when activating a plan from its dashboard, accepting a proposal or signing a contract with Vizator. Whoever accepts on the customer’s behalf declares they are authorized to bind it.

Vizator does not contract with consumers. If the customer signs a specific proposal or contract (for example, Enterprise), what is agreed in it prevails over these terms where they conflict.

How to contract

The steps are: (1) the customer requests a demo or a proposal; (2) Vizator sets up its company and invites its users; (3) the customer chooses a plan and period in its dashboard, ticks that it accepts these terms and the Data processing agreement, and pays on Stripe’s secure checkout page, where it sees the amount with taxes before confirming and can correct any detail or go back; (4) Vizator confirms the sign-up by email and the invoice is available in the dashboard.

The contract can be concluded in Spanish or English. Vizator keeps a record of each purchase: the acceptance of these terms (version, date and time, user, IP address and browser), the signed proposal or contract, if any, the subscription and its invoices. The current terms are always on this page, with their update date, and the invoices in the customer’s dashboard.

With the above, Vizator provides the prior information and confirmation required by articles 27 and 28 of Spanish Law 34/2002 (LSSI-CE).

The service

The platform lets the customer gather its 3D products in a library, publish them on its websites through integrations (link, iframe or component), check its analytics and, depending on the plan, offer augmented reality, dimensions and white label.

Preparing 3D models and finishes is a separate professional service with its own quote (see "Preparing your products in 3D").

Vizator may improve and update the platform. If it withdraws a relevant feature of the contracted plan, it will give reasonable notice.

Account, users and security

Vizator creates the customer’s company and invites the users the customer indicates. Each user keeps their password safe; the customer is responsible for how its users use the service and will tell Vizator as soon as it learns of unauthorized access.

The customer will provide accurate data and keep it up to date, especially its billing details.

Free trial

Vizator may offer a free 30-day trial, without a card, with the features stated when it is activated. Vizator gives notice before it ends. If the customer does not activate a plan when it ends, access to the dashboard and publication of the viewer stop, and its library is kept as described in "Term, cancellation and end of the service".

Plans, prices and taxes

The plans, their limits, add-ons and prices are those published at vizator.es/en/pricing at the time of contracting. Prices exclude VAT and other applicable taxes, which are added to the invoice.

Vizator may update its prices. A price change is communicated at least 30 days in advance and applies from the next renewal; the customer may cancel before it applies.

Payment, invoicing and renewal

Subscriptions are paid in advance, monthly or yearly, through Stripe as payment provider, and are invoiced electronically. The subscription renews automatically at the end of each period unless the customer has canceled.

Upgrading is immediate and the prorated part of the current period is charged. Downgrading applies at the end of the current period and can be undone before then.

If a payment fails, Vizator notifies the customer, retries the payment and grants a grace period during which the service keeps working. If it is not settled, Vizator may suspend the dashboard and the publication of the viewer until it is resolved, without deleting anything.

Term, cancellation and end of the service

There is no minimum term. The customer can cancel at any time from its dashboard or by writing to Vizator; the plan stays active until the end of the paid period and does not renew. Periods already started are not refunded, except as required by law or agreed by Vizator.

While the account is active, the customer can download its models and finishes at any time from the Files tab of its library.

After cancellation, Vizator keeps the customer’s library for at least 90 days, so it can download it or reactivate its account. After that period, Vizator fully deletes it, except for what must be kept by law; the customer can ask at any time for it to be deleted earlier.

Vizator may terminate the contract if the customer seriously breaches these terms and does not remedy it within 15 days of being notified, or immediately if the breach puts the security of the service or of third parties at risk.

Switching provider and exporting your data

Under Regulation (EU) 2023/2854 (Data Act), the customer can switch to another provider or to its own systems at any time. Canceling is enough: there is no notice period or minimum term, and canceling does not entitle it to a refund of periods already started, as stated in the previous section.

Exportable data: the 3D models and finishes in the library (Files tab), the images the customer has uploaded and the analytics of its integrations, as CSV from the dashboard. Vizator provides the configuration of its products and integrations on request in a structured, commonly used format. Vizator’s code and viewer are not part of the exportable data.

The customer has at least 90 days after cancellation to retrieve its data, with Vizator’s reasonable assistance if requested. Vizator does not charge for switching or exporting. When that period ends, Vizator fully deletes the customer’s data, except for what it must keep by law, and confirms it on request.

Preparing your products in 3D

Preparing models and finishes is quoted in writing before starting, with its items and timeline. The accepted quote prevails over the indicative prices published.

It includes one round of adjustments. Later changes of scope (new parts, finishes or references) are quoted separately. Timelines may shift if the customer delivers the necessary information late or incomplete.

To prepare the products, Vizator may rely on third-party tools, including artificial intelligence tools, always subject to the confidentiality of these terms.

The customer warrants that it has the right to use the files, drawings, photos and materials it provides, and that their use by Vizator to prepare its products does not infringe third-party rights.

Your content and intellectual property

The customer’s models, finishes, images and data belong to the customer, including those Vizator prepares for it once paid. The customer grants Vizator a non-exclusive license, limited to the duration of the service, to host, process, technically adapt and display them only as needed to provide the service.

Vizator will only show the customer’s name, logo or products as a commercial reference with its prior permission.

The platform, the viewer, its code, its design and the Vizator brand belong to Vizator. The customer receives a non-exclusive, non-transferable right of use for the duration of its subscription.

Acceptable use

The customer may not use Vizator to publish unlawful content or content that infringes third-party rights, try to access other customers’ data, deliberately overload the service, or decompile, copy or resell it without permission.

Availability, support and limits

Vizator works to keep the service continuously available, but does not guarantee a specific availability unless agreed by contract. Maintenance is scheduled at low-usage times whenever possible.

Support is as included in each plan, by email and on business days.

Each plan includes limits (published products, integrations, users, storage and monthly views). If the included views are exceeded, the viewer is not cut off: Vizator lets the customer know and, if it keeps happening, suggests the right plan.

Liability

Vizator provides the service with the care of a professional in the sector. It is not liable for indirect damages, such as lost profits, loss of business or reputation, nor for failures caused by third parties beyond its control (internet providers, browsers, the customer’s website) or by force majeure.

Vizator’s total liability to the customer, for any cause, is limited to what the customer paid Vizator in the 12 months before the event giving rise to it. This limitation does not apply in cases of willful misconduct or gross negligence, or where the law does not allow it.

Data protection

The contact and billing data of the customer and its users are processed as described in the Privacy policy.

When the viewer is used on the customer’s websites, Vizator processes its visitors’ data on the customer’s behalf. That processing is governed by the Data processing agreement, which is part of these terms.

Confidentiality

Each party keeps confidential the other’s information it accesses through the service (unreleased products, prices, commercial data) and uses it only to provide or receive the service. This obligation continues for three years after the relationship ends.

Changes to these terms

Vizator may amend these terms. Relevant changes are communicated to the customer at least 30 days in advance; if it does not agree, it can cancel before they take effect.

Final provisions

Communications between the parties will be made by email, to the contact addresses of the customer’s account and to [email protected].

The customer may not assign the contract without Vizator’s consent. If any clause is void, the rest remains in force. These terms, together with the specific proposal or contract if any, are the entire agreement between the parties.

Governing law and jurisdiction

These terms are governed by Spanish law. For any dispute, the parties submit to the courts of Valencia (Spain), unless a mandatory rule provides otherwise.
